Terms of Service

1. Definitions

The following terms have the meanings set forth below:

• "Agreement" means these Terms of Service and any Order Forms or subscription agreements.
• "Customer" or "You" means the individual or entity that has registered for or is using the Services.
• "Customer Data" means any data, content, or materials that you submit, upload, or otherwise make available through the Services, including project descriptions, scope documents, and generated outputs.
• "Services" means the ScopeLock platform, including the web application, AI-powered scope generation, PDF export, and all related features and functionality.
• "Subscription" means the paid access plan you select, including any credits, features, or usage limits associated with that plan.
• "Credits" means the usage units required to generate scopes, which are deducted from your account balance with each generation.

2. The Services

2.1 Service Description

ScopeLock provides an AI-powered platform that transforms vague client requirements into defensible, professional scopes of work. The Services include project creation, interactive interrogation, AI-generated scope documents, editing capabilities, and PDF export functionality.

2.2 Service Availability

We strive to maintain high availability of the Services, but we do not guarantee uninterrupted access. We may temporarily suspend access for maintenance, updates, or to address security concerns.

2.3 ScopeLock Ownership

ScopeLock retains all rights, title, and interest in the Services, including all software, algorithms, AI models, interfaces, and documentation. You receive only a limited license to use the Services as described in this Agreement.

3. User Accounts & Responsibilities

3.1 Account Registration

To use the Services, you must create an account using a valid email address and authentication provider (Google or email/password). You agree to provide accurate, current, and complete information during registration.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

3.3 Account Termination

You may delete your account at any time through the account settings page. We may suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Customer Data

4.1 Customer Ownership

You retain full ownership of all Customer Data. We claim no ownership rights over your project descriptions, scope documents, or any content you create using the Services.

4.2 License to Process

You grant us a limited license to access, store, and process Customer Data solely to provide the Services to you. This includes using AI models to generate scope documents based on your input.

4.3 Data Security

We implement commercially reasonable security measures to protect Customer Data from unauthorized access, disclosure, alteration, or destruction. For details, see our Privacy Policy and Data Processing Agreement.

4.4 Data Backup & Deletion

You are responsible for maintaining backups of your Customer Data. When you delete your account, we will delete your Customer Data within 30 days, except as required by law or for legitimate business purposes.

5. Subscription & Payment Terms

5.1 Credits System

The Services operate on a credit-based system. Each scope generation consumes a certain number of credits. You can purchase credits through one-time payments or subscription plans.

5.2 Payment Processing

All payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for all fees incurred. You are responsible for all applicable taxes.

5.3 No Refunds

All purchases of credits and subscriptions are final and non-refundable, except as required by law or at our sole discretion. Credits do not expire unless your account is terminated.

5.4 Price Changes

We reserve the right to modify our pricing at any time. Price changes will not affect credits already purchased but may apply to future purchases.

6. Usage Restrictions

You agree not to:

• Use the Services for any illegal, fraudulent, or unauthorized purpose;
• Reverse engineer, decompile, or attempt to extract the source code of the Services;
• Use automated means (bots, scrapers, etc.) to access the Services without permission;
• Resell, sublicense, or redistribute the Services without authorization;
• Upload content that infringes intellectual property rights, contains malware, or is harmful;
• Interfere with or disrupt the Services or servers/networks connected to the Services;
• Impersonate any person or entity or misrepresent your affiliation;
• Use the Services to generate content that is defamatory, obscene, or violates applicable laws.

7. Intellectual Property Rights

The Services, including all software, designs, text, graphics, logos, and other content (excluding Customer Data), are the proprietary property of ScopeLock and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services without express written permission. The ScopeLock name and logo are trademarks of ScopeLock and may not be used without permission.

8. Warranties & Disclaimers

8.1 AS-IS Service

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 AI-Generated Content

While we strive for accuracy, AI-generated scope documents may contain errors, omissions, or inaccuracies. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, EDITING, AND VALIDATING ALL GENERATED CONTENT BEFORE USE. ScopeLock makes no warranties regarding the accuracy, completeness, or suitability of AI-generated content.

8.3 No Legal Advice

The Services do not constitute legal, financial, or professional advice. You should consult with qualified professionals before relying on any scope documents generated by the Services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCOPELOCK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless ScopeLock, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Services;
• Your violation of these Terms;
• Your violation of any third-party rights, including intellectual property rights;
• Any Customer Data you submit to the Services.

11. Term & Termination

11.1 Term

This Agreement begins when you create an account and continues until terminated by either party.

11.2 Termination by You

You may terminate this Agreement at any time by deleting your account. Termination does not entitle you to any refund of unused credits or subscription fees.

11.3 Termination by Us

We may suspend or terminate your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

11.4 Effect of Termination

Upon termination, your right to use the Services will immediately cease. We will delete your Customer Data within 30 days, subject to our data retention policies and legal obligations.

12. Dispute Resolution

12.1 Informal Resolution

Before filing a claim, you agree to contact us at scopelockapp@gmail.com to attempt to resolve the dispute informally.

12.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Slovenia, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts in Ljubljana, Slovenia.

12.3 Dispute Resolution

Any disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts in Ljubljana, Slovenia. For EU customers, you also have the right to lodge a complaint with your local data protection authority.

13. General Provisions

13.1 Entire Agreement

These Terms constitute the entire agreement between you and ScopeLock regarding the Services and supersede all prior agreements.

13.2 Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Services. Your continued use after changes constitutes acceptance.

13.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations without restriction.

13.5 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
